Non-Circumvention Agreement

1. Purpose
Facioneer invests significantly in finding, verifying, and introducing qualified dental professionals to clinics. This Non-Circumvention Agreement ("NCA") ensures both sides benefit fairly from that introduction — while preserving a clinic's full freedom to hire and a professional's full freedom to accept offers. It keeps the platform sustainable for clinics and free of charge for professionals.
2. Who this agreement applies to
This agreement applies to every engagement that results from an introduction made through Facioneer — that is, any shift, booking, or hire involving a clinic and a professional who were matched, or first communicated, through the platform. It does not apply to a clinic and professional who already had a working relationship before Facioneer introduced them.
3. The 90-day platform period
Once Facioneer introduces a professional to a clinic, for 90 days from the date of that professional's first completed shift with the clinic:
- Continued shift engagements between that clinic and that professional should be booked through the platform;
- Communication between the clinic and the professional about that engagement should run through the platform's messaging channel.
This period is tracked automatically on your account once the first shift is marked complete (shown as the engagement's protection window).
4. Protections for professionals
If you're a dental professional, this agreement:
- Never reduces your pay. Nothing is deducted from your hourly rate as a result of this agreement.
- Lets you accept permanent offers. If a clinic you met through Facioneer wants to hire you full-time, that's fully supported — the clinic pays a one-time conversion fee, and you keep 100% of your offered salary.
- Does not restrict where else you work. You remain free to work with other clinics, agencies, or platforms at any time.
- Doesn't apply to prior relationships. If you already worked with a clinic before Facioneer introduced you to them, that clinic is not covered by this agreement.
5. Permanent hires & the Direct Hire program
Clinics remain completely free to hire any professional introduced via Facioneer on a permanent or long-term basis. When that happens, the clinic uses our in-platform Direct Hire flow, and a one-time Direct Hire conversion fee applies in lieu of ongoing platform fees for that professional. The fee is calculated as a percentage of the professional's agreed first-year salary on a sliding scale that decreases the more shifts the professional has already completed through the platform, and a clinic's first such conversion is waived in its first year on Facioneer.
Responsibility for starting the Direct Hire process sits with the clinic, not the professional.
6. What this agreement does not do
- It does not restrict a professional's right to work elsewhere, including with other agencies or platforms.
- It does not reduce a professional's compensation in any way.
- It does not apply to clinics and professionals who had a relationship before being introduced via Facioneer.
- It does not renew automatically once the 90-day period for a given introduction ends.
7. Enforcement
If circumvention occurs — for example, a clinic engaging a Facioneer-introduced professional directly, without going through the platform or notifying us, during the 90-day period — Facioneer may invoice the applicable Direct Hire conversion fee described above. We would much rather this not happen: the in-platform Direct Hire flow is simple, transparent, and exists for exactly this situation.
8. Duration
Each introduction's protection period runs for 90 days from the date of the professional's first completed shift with that clinic, and does not renew automatically. A new introduction (e.g. the same professional matched with the same clinic again after a long gap) may start a new 90-day period.
9. Changes to this agreement
We may update this agreement from time to time as our Services, legal obligations, or this document's legal review evolve. If we make material changes, we will update the version number and "Last updated" date above and, where appropriate, notify account holders directly and request re-acceptance.
